Developer Terms of Service

1. Introduction

These Developer Terms of Service ("Developer Terms") govern your access to and use of Multex's application programming interfaces ("APIs") and webhook services ("Webhooks"). By creating an API key or webhook, you agree to comply with these Developer Terms, our general Terms of Service, and all applicable laws and regulations.

2. Data Access and Usage

When you utilize Multex's APIs or Webhooks, you may receive access to user data, server data, and other information ("Data") from the Multex platform. You acknowledge that:

  • The Data is provided to you solely for the purposes authorized by the end users and server administrators
  • You must handle all Data in accordance with applicable privacy laws and regulations
  • You may not use the Data for any purpose not explicitly authorized by the data subject
  • You must implement appropriate technical and organizational measures to protect the Data

3. Privacy Law Compliance

Important: Your Compliance Obligations

You, as the third-party developer, are solely responsible for ensuring compliance with all applicable privacy laws and regulations when accessing, processing, storing, or transmitting data obtained through Multex's APIs or Webhooks.

This includes, but is not limited to, compliance with:

General Data Protection Regulation (GDPR)

If you process data of individuals in the European Economic Area (EEA), you must comply with GDPR requirements including but not limited to: obtaining proper consent, implementing data subject rights, maintaining records of processing activities, and reporting data breaches.

California Consumer Privacy Act (CCPA)

If you process data of California residents, you must comply with CCPA requirements including providing privacy notices, honoring consumer rights requests (access, deletion, opt-out), and maintaining appropriate data security measures.

Other Privacy Laws

You must also comply with any other applicable data protection and privacy laws in your jurisdiction or the jurisdiction of the data subjects whose data you process, including but not limited to: UK GDPR, PIPEDA (Canada), LGPD (Brazil), PDPA (Singapore), and any state-level privacy laws in the United States.

4. Security Requirements

You must implement and maintain appropriate technical and organizational security measures to protect Data obtained through Multex APIs or Webhooks, including:

  • Encryption of data in transit and at rest
  • Access controls and authentication mechanisms
  • Regular security assessments and vulnerability testing
  • Incident response and breach notification procedures
  • Secure API key and webhook secret management
  • Regular updates and patching of systems

5. Data Sharing and Third Parties

You may not share, sell, or transfer Data obtained through Multex APIs or Webhooks to any third party without:

  • Explicit consent from the data subject (where required by law)
  • A valid legal basis for the transfer
  • Ensuring the third party implements adequate data protection measures
  • Compliance with all applicable cross-border data transfer requirements

6. Data Retention and Deletion

You must:

  • Only retain Data for as long as necessary for the authorized purposes
  • Implement data retention and deletion policies
  • Honor data deletion requests from users and administrators
  • Securely delete or anonymize Data when no longer needed
  • Delete all Data upon termination of your use of Multex APIs or Webhooks

7. Prohibited Uses

You may not use Multex APIs or Webhooks to:

  • Violate any applicable laws, regulations, or third-party rights
  • Process Data for purposes incompatible with those disclosed to users
  • Create profiles of users without their explicit consent
  • Use Data for discriminatory purposes
  • Bypass rate limits or security measures
  • Attempt to access Data you are not authorized to access
  • Interfere with or disrupt the Multex platform

8. Transparency and User Rights

You must:

  • Provide clear and accessible privacy notices to users
  • Disclose how you collect, use, store, and share Data
  • Implement mechanisms for users to exercise their rights (access, correction, deletion, etc.)
  • Respond to user rights requests within legally required timeframes
  • Maintain records demonstrating compliance with these obligations

9. Breach Notification

In the event of any security breach, unauthorized access, or other incident affecting Data obtained through Multex APIs or Webhooks, you must:

  • Notify Multex immediately at the contact information provided on our website
  • Provide detailed information about the nature and scope of the breach
  • Comply with all applicable breach notification requirements under privacy laws
  • Cooperate with Multex in investigating and remediating the breach
  • Take immediate steps to mitigate harm and prevent further unauthorized access

10. Monitoring and Compliance

Multex reserves the right to:

  • Monitor your use of APIs and Webhooks to ensure compliance
  • Request documentation demonstrating your compliance with these Developer Terms
  • Conduct audits of your data processing activities (with reasonable notice)
  • Suspend or terminate your API keys or webhooks for violations of these terms
  • Report violations to relevant regulatory authorities

11. Liability and Indemnification

You agree to indemnify, defend, and hold harmless Multex from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Developer Terms
  • Your violation of applicable privacy laws or regulations
  • Your misuse or mishandling of Data obtained through Multex APIs or Webhooks
  • Claims by data subjects regarding your processing of their Data
  • Data breaches or security incidents caused by your actions or negligence

12. Changes to Developer Terms

Multex may update these Developer Terms from time to time. We will notify you of material changes by email or through the Multex platform. Your continued use of Multex APIs or Webhooks after such changes constitutes acceptance of the updated terms.

13. Termination

These Developer Terms remain in effect until terminated by either party. Upon termination:

  • Your access to Multex APIs and Webhooks will be immediately revoked
  • You must cease all use of Data obtained through Multex APIs or Webhooks
  • You must securely delete or return all Data as directed
  • Provisions related to liability, indemnification, and confidentiality survive termination

Acknowledgment

By creating an API key or webhook on the Multex platform, you acknowledge that you have read, understood, and agree to be bound by these Developer Terms of Service.
